Caseura Terms of Service
Last updated: [DATE — TO CONFIRM ON PUBLICATION]
Status: Proposed working draft for review. Not legally approved and not in force.
1. About these Terms
1.1 These Terms of Service ("Terms") govern your access to and use of Caseura (the "Service"), a software-as-a-service platform for food and beverage brands, operated by Daniel Taylor, trading as Caseura ("Caseura", "we", "us", "our").
1.2 Contact: hello@caseura.io. Postal address: [UNRESOLVED — postal address to be confirmed].
1.3 By creating an account, accepting an invitation or using the Service, you agree to these Terms. If you accept on behalf of a business, you confirm you are authorised to bind it, and "you" includes that business.
1.4 The Service is intended for business and professional use.
1.5 Nothing in these Terms limits any right you have under applicable law that cannot be excluded or limited by contract.
2. The Service
2.1 Caseura provides tools for customer and lead management, tasks, events, products and promotions, team collaboration, lead discovery, AI-assisted features (such as lead matching, ranking and draft email generation) and an in-app help assistant ("Casey").
2.2 Outreach drafts. Caseura prepares email drafts. It does not send outreach emails on your behalf. Drafts open in your own email client and you decide whether to send them. You are responsible for any message you send.
2.3 We may improve, change or withdraw features. Where a change materially reduces a Service you have paid for, we will give reasonable notice where practicable, without affecting your rights under section 7.4.
2.4 The Service does not provide legal, regulatory, tax or other professional advice.
3. Eligibility and access
3.1 You must be at least 18 and use the Service for business or professional purposes.
3.2 Invite-only access. Registration is currently by invitation only. We may accept or decline access requests.
3.3 Access before payments launch. Online payments are not currently active and no subscription fees are charged through the Service. Any access during this period is provided on a limited, temporary basis that we may change or end. We will give reasonable notice before it ends or before paid subscriptions are required. Access during this period does not create any entitlement to a free trial, continued free access, or a particular plan or price once payments launch.
4. Accounts and teams
4.1 You must provide accurate information and keep it up to date.
4.2 You are responsible for keeping your login details secure and for activity under your account. We recommend enabling multi-factor authentication. Tell us promptly at hello@caseura.io if you suspect unauthorised access.
4.3 Company accounts. A company workspace has a Company Owner. The owner and managers, within the permissions the Service provides, may invite, change, suspend or remove team members. Team members' access depends on their assigned role. The company is responsible for its team members' use of the Service.
4.4 Team sizes. Plans are described as "Designed for teams of 5", "8" or "13" respectively. These descriptions indicate the intended team configuration and are not seat limits.
4.5 Deletion. You can request deletion of an account or company as described in the Service and our Privacy Policy. A deleted company can be recovered for 30 days before permanent removal. When an individual member's account is deleted, company work records they owned may be transferred to a designated manager, their private email history and personal profile details are deleted or cleared, and historical activity may appear as "Former member".
5. Acceptable use
5.1 You must not, and must not allow others to:
- (a) use the Service unlawfully, fraudulently or to infringe anyone's rights;
- (b) send unsolicited, deceptive or unlawful marketing, or use drafts or discovered contact information in breach of applicable data-protection, e-privacy or anti-spam laws;
- (c) upload malicious code or attempt unauthorised access to the Service, other accounts or other companies' data;
- (d) probe, scan or test the Service for vulnerabilities without our written permission;
- (e) resell, sublicense or redistribute the Service or data obtained through it beyond your own internal business use;
- (f) circumvent usage limits, access controls or registration restrictions;
- (g) overload or disrupt the Service, including through excessive automated use;
- (h) reverse engineer the Service, except where the law permits this;
- (i) use the Service to build a competing product.
5.2 You are responsible for ensuring you may lawfully enter, import and use personal data in the Service, and contact the people concerned.
6. Paid subscriptions (once payments launch)
6.1 Sections 6 to 8 apply to paid subscriptions once online payments are active.
6.2 Plans. Plans are currently listed per month: Starter £399, Growth £599 and Pro £899. Each plan's features are as shown on our pricing page when you subscribe.
6.3 Taxes. Applicable taxes will be handled according to the law applicable to the transaction. Listed prices are not stated to definitively include or exclude VAT. Payments are not active and Stripe Tax has not yet been configured. [LEGAL / TAX REVIEW — confirm the applicable tax treatment and required price disclosures before paid subscriptions launch.]
6.4 Automatic renewal. Subscriptions renew automatically each month until cancelled. You authorise us, or our payment provider, to charge the fee for each renewal period to your chosen payment method. We will make renewal terms clear before you subscribe.
6.5 Price changes. We may change subscription prices for future periods. We will give you at least 30 days' advance notice by email. A price change will not affect any period you have already paid for. If you do not accept the change, you may cancel before it takes effect.
6.6 Failed payments. If a payment fails, we will notify you and allow 7 days after notification to resolve the payment issue before possible suspension of paid features until payment is received, subject to applicable law and any required notices.
6.7 Payment processing. Payments will be processed by a third-party payment provider. [UNRESOLVED — name provider once implemented.]
7. Cancellation and refunds
7.1 How to cancel. You may cancel at any time by emailing hello@caseura.io from the Company Owner's account email address. We will confirm cancellation in writing. If a self-service cancellation option becomes available, you may use either method.
7.2 Cancellation takes effect at the end of your current paid period, and no further renewal charges will be made. Access normally continues until then, unless suspended or terminated under sections 13 or 14.
7.3 No voluntary refunds are provided, including for unused time in the current period, except where required by applicable law or otherwise agreed by Caseura in writing.
7.4 Sections 7.2 and 7.3 do not affect any mandatory right to a refund, price reduction or other remedy under applicable law, including where the Service is not provided as described or following termination under section 14.3.
8. Search allowances and fair use
8.1 Each plan includes a monthly lead-discovery search allowance: Starter 1,000, Growth 3,000, Pro 5,000. Once an allowance is reached, further searches may be unavailable until it resets.
8.2 For paid subscriptions, search allowances reset on each subscription renewal date.
8.3 Unused searches do not roll over and have no cash value.
8.4 [UNRESOLVED — PRODUCT VERIFICATION AND DECISION: whether additional searches can be purchased. No purchase option should be described unless it exists.]
8.5 AI fair use. AI-powered features are included on every plan, subject to fair use. Fair use means reasonable use by your team for your own business purposes. If use is excessive, automated or harms the Service or other customers, we will normally contact you first and may then apply reasonable, proportionate limits.
9. AI features
9.1 AI features generate suggestions, rankings, matches and draft text automatically. AI output may be inaccurate, incomplete, out of date or unsuitable. Review it before relying on or sending it.
9.2 You are responsible for decisions you make and messages you send based on AI output.
9.3 To provide AI features, some information you enter (such as customer, prospect or venue details) is processed by third-party AI providers, as described in our Privacy Policy. The help assistant receives your question and limited page context only.
9.4 We do not guarantee any particular commercial result from AI features.
10. Your content
10.1 "Your Content" means data, files and text you or your team put into the Service.
10.2 You keep ownership of Your Content. You grant us a non-exclusive licence to host, process, copy and display it only as needed to provide, secure, support and improve the Service, and as described in our Privacy Policy.
10.3 You confirm you have the rights needed to provide Your Content and that it does not breach the law or these Terms.
10.4 We recommend keeping your own records of information important to your business.
10.5 After deletion or termination, Your Content is handled as described in section 4.5 and our Privacy Policy.
11. Intellectual property
11.1 Caseura and its licensors own the Service, its software, design, branding and documentation. Apart from the limited right to use the Service under these Terms, no rights are granted to you.
11.2 Third-party information shown in the Service, such as business listings, remains subject to its providers' rights and terms.
11.3 We may use feedback you give us to improve the Service without obligation to you.
12. Availability and support
12.1 We aim to keep the Service available and working properly, but do not guarantee it will be uninterrupted or error-free. No service level agreement applies unless agreed in writing.
12.2 Maintenance may occasionally interrupt the Service. Where practicable we will plan it to limit disruption.
12.3 The Service relies on third-party providers (such as hosting, authentication, AI, mapping and email providers), whose outages may affect it.
12.4 Support is available through the help assistant, the in-app support page and hello@caseura.io. We aim to respond within a reasonable time; no specific response time is guaranteed.
13. Suspension
13.1 We may suspend all or part of your access, or a team member's access, where reasonable and proportionate because:
- (a) there is a material breach of these Terms;
- (b) it is needed to protect the security or integrity of the Service, other customers or third parties;
- (c) payment remains overdue after notice and the grace period in section 6.6; or
- (d) the law or a competent authority requires it.
13.2 Unless urgent action is needed or the law prevents it, we will tell you the reason in advance and give you a reasonable opportunity to fix the issue. We will restore access once the reason for suspension is resolved.
13.3 Suspension blocks sign-in but does not by itself delete data.
14. Termination
14.1 You may cancel under section 7 at any time.
14.2 We may terminate your access by written notice if (a) you materially breach these Terms and do not fix the breach within a reasonable period after notice, or (b) the breach is serious or cannot be remedied, or the law requires termination.
14.3 We may also end the Service or your subscription for other reasons by giving reasonable advance notice. Refunds following termination are subject to section 7.3, without affecting any mandatory right to a refund or other remedy under applicable law.
14.4 Provisions that by their nature should survive termination will do so, including sections 5, 10.5, 11, 16, 17 and 19.
15. Privacy and data protection
15.1 Our Privacy Policy (working draft) explains how we handle personal data. It remains subject to review and is not a final approved policy.
16. Disclaimers
16.1 To the extent permitted by law, and except as expressly stated in these Terms, we make no other warranties about the Service, including about the accuracy of third-party data or AI output.
16.2 This section does not exclude any warranty, guarantee or right that cannot lawfully be excluded.
17. Limitation of liability
17.1 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, wilful misconduct, or any other liability that applicable law does not allow to be limited.
17.2 Subject to section 17.1 and to the extent permitted by law, neither party is liable for indirect or consequential loss, or for loss of profits, revenue, business or goodwill.
17.3 Subject to section 17.1 and to the extent permitted by law, the proposed cap on our total liability is the subscription fees paid or payable during the 12 months before the event giving rise to the claim. [LEGAL REVIEW — proposed cap; enforceability and appropriate exceptions must be confirmed.]
18. Changes to these Terms
18.1 We may update these Terms to reflect changes to the Service, payments or the law. For material changes, we will give at least [DECISION: notice period] advance notice by email or in the Service, unless a shorter period is required by law or for security reasons. If you do not agree, you may cancel before the change takes effect; continued use after that date means the updated Terms apply.
19. Governing law and disputes
19.1 These Terms are proposed to be governed by Spanish law, subject to legal review and mandatory rights that cannot lawfully be excluded. This choice will not deprive you of protections given by mandatory law in your country. [LEGAL REVIEW — confirm the proposed choice of Spanish law. UNRESOLVED — jurisdiction and dispute forum remain to be decided and legally reviewed.]
19.2 Before starting formal proceedings, both parties will try in good faith to resolve the dispute by contacting each other (for us, at hello@caseura.io).
20. General
20.1 These Terms, together with our Privacy Policy and any plan details accepted when subscribing, form the entire agreement between us about the Service.
20.2 If any provision is found invalid, the rest remain in effect.
20.3 Failure to enforce a right is not a waiver of it.
20.4 You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor of the business with notice to you, provided your rights are not reduced.
20.5 Neither party is liable for delays caused by events beyond its reasonable control.
20.6 These Terms are written in English.
